User Terms of Service

These Terms of Service ( "Terms" ) govern your access to and use of the Billion platform, including any websites, applications, interfaces, and related services (collectively, the "Services" ) provided by Billion ( " Billion", "we", " us", or "our" ).
By accessing or using the Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you must not access or use the Services.
1. Eligibility & Restricted Jurisdictions
You represent and warrant that:
1. You are at least 18 years old and have full legal capacity;
2. You are using the Services solely for your own account;
3. Your use of the Services complies with all applicable laws and regulations.
Restricted Jurisdictions
Due to regulatory restrictions, the Services are not available to users located in, resident in, or citizens of the following jurisdictions ( collectively, " Restricted Jurisdictions" ):
• United States
• South Korea
• Mainland China
Users located in other jurisdictions, including Japan and Singapore, may have limited access to certain features of the Services.
Billion reserves the right, at its sole discretion, to restrict, modify, or deny access to the Services in any jurisdiction at any time.
You agree not to attempt to circumvent any geographic or jurisdictional restrictions.
2. Description of the Services
Billion provides a non-custodial live streaming and digital asset interaction platform, which may include:
• Live streaming and social features;
• Digital asset trading interfaces;
• Copy trading or trade-following functionality;
• Market data display and analytics;
• Tipping and creator interaction mechanisms.
Non-Custodial Nature
Billion does not custody, hold, control, or manage user assets.
All transactions are executed directly by users through their connected wallets and applicable third-party protocols.
Billion does not act as:
• A broker, dealer, or exchange;
• An investment adviser or financial advisor;
• A fiduciary, agent, or trustee.
3. Third-Party Protocols
The Services may provide interfaces or access points to third-party blockchain protocols, smart contracts, decentralized applications, or liquidity venues ( "Third-Party Protocols").
You acknowledge and agree that:
• Billion does not own, operate, control, deploy, audit, or manage any Third-Party Protocols;
• Billion makes no representations or warranties regarding their security, functionality, or availability;
• All interactions with Third-Party Protocols occur entirely at your own risk.
Billion shall not be liable for losses arising from smart contract vulnerabilities, protocol failures, exploits, oracle errors, network congestion, forks, or actions of third-party developers or governance mechanisms.
4. No Investment Advice
All content, streams, information, data, analytics, or opinions provided through the Services are for informational and entertainment purposes only.
Nothing on the Services constitutes:
• Investment advice;
• Financial, legal, or tax advice;
• A recommendation or solicitation to buy or sell any asset.
You are solely responsible for evaluating the merits and risks of any transaction.
5. Copy Trading / Trade-Following Disclaimer
The Services may allow users to observe, follow, or replicate the trading activity of other users or streamers ( "Copy Trading" ).
You acknowledge and agree that:
1. No Advisory Relationship
Streamers are not acting as investment advisers, brokers, agents, or fiduciaries. No advisory, agency, or trust relationship is created between you, any streamer, or Billion.
2. User-Directed Execution
All Copy Trading actions are initiated and controlled solely by you. You decide whether and how to follow any trade.
3. No Performance Guarantees
Past performance does not guarantee future results. Copy Trading may result in partial or total loss of funds.
4. Execution & Timing Risks
Differences in execution price, timing, liquidity, fees, or network latency may cause copied trades to perform differently from the original trades.
5. Streamer Incentives Disclosure
Streamers may receive fees, revenue sharing, or tipping rewards based on user activity, which may create incentives that do not align with your interests.
6. Platform Role Limitation
Billion provides only technical infrastructure and does not monitor, endorse, or verify any trading behavior.
You assume all risks associated with Copy Trading.
6. Fees
Billion may charge transaction-based fees, including trading fees and platform service fees. All applicable fees will be disclosed through the Services prior to execution.
Billion reserves the right to modify fees at any time.
7. Taxes
You are solely responsible for determining, reporting, and paying any taxes arising from your use of the Services, including taxes related to trading, tipping, rewards, or other digital asset transactions.
Billion does not provide tax advice and does not calculate, withhold, or remit taxes on your behalf.
8. Risk Disclosure
Trading digital assets involves substantial risk, including but not limited to:
• Market volatility;
• Liquidity risk;
• Smart contract or protocol risk;
• Technical failures or network disruptions;
• Regulatory uncertainty.
You may lose some or all of your funds.
Only trade assets you can afford to lose.
9. User Obligations
You agree not to:
• Use the Services for unlawful purposes;
• Engage in fraud, market manipulation, or deceptive practices;
• Provide false or misleading information;
• Circumvent jurisdictional or technical restrictions.
10. Service Modifications
Billion reserves the right, at any time and at its sole discretion, to modify, suspend, or discontinue any part of the Services without prior notice.
Billion shall not be liable for any losses resulting from such modifications or discontinuation.
11. Suspension & Termination
Billion may suspend or terminate your access to the Services at any time for compliance, legal, or risk-management reasons.
12. No Warranties
The Services are provided on an "AS IS" and "AS AVAILABLE" basis.
To the maximum extent permitted by law, Billion disclaims all warranties, whether express,
implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, or accuracy.
13. Limitation of Liability
To the maximum extent permitted by law, Billion shall not be liable for any indirect, incidental, consequential, or punitive damages, or for any trading losses, protocol failures, or third-party actions.
14. Indemnification
You agree to indemnify and hold harmless Billion and its affiliates from any claims, losses, or damages arising from your use of the Services or violation of these Terms.
15. Governing Law & Arbitration
These Terms are governed by the laws of Hong Kong, without regard to conflict-of-law principles.
Any dispute, controversy, difference or claim arising out of or relating to this contract, including the existence, validity, interpretation, performance, breach or termination thereof or any dispute regarding non-contractual obligations arising out of or relating to it shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted, conducted in English.
You waive any right to participate in class actions or class arbitrations.
16. Amendments
Billion may update these Terms from time to time. Continued use of the Services constitutes acceptance of the updated Terms.
