Streamer Terms of Service

These Streamer / Creator Terms of Service ( “Streamer Terms” ) govern your participation as a streamer, creator, or content provider ( “Streamer” , “you” ) on the Billion platform (“Billion”, “we”, “us” ).

By applying for, accessing, or using streamer features on the platform, you agree to be bound by these Streamer Terms and the Billion User Terms of Service, which are incorporated herein by reference.

If you do not agree, you must not act as a streamer on the platform.

1. Independent Contractor Status

You act solely as an independent content creator.

Nothing in these Streamer Terms creates any employment, agency, partnership, fiduciary, or advisory relationship between you and Billion.

2. Eligibility

You represent and warrant that:

• You are at least 18 years old; • You are not located in, resident in, or a citizen of any Restricted Jurisdiction as defined in the User Terms of Service.

3. Sanctions, Restricted Persons & Compliance

You represent and warrant that you are not:

• A person or entity listed on any sanctions, restricted, or blocked persons list maintained by any governmental authority, including but not limited to:

◦ the U.S. Office of Foreign Assets Control (OFAC);

◦ the United Nations Security Council;

◦ the European Union;

◦ the United Kingdom HM Treasury;

。or any other applicable sanctions authority;

• Located in, resident in, or a citizen of any jurisdiction subject to comprehensive sanctions or embargoes;

• Acting on behalf of, or owned or controlled by, any sanctioned or restricted person or entity. You further agree that you will not use the platform in any manner that would cause Billion to violate applicable sanctions, anti-money laundering, or counter-terrorism financing laws.

Billion reserves the right, at its sole discretion, to suspend, restrict, or terminate your streamer account immediately if it reasonably believes you are a sanctioned person or otherwise subject to applicable restrictions.

4. Nature of Content

You may host livestreams, commentary, educational content, entertainment content, and display your personal trading activity.

All content, statements, opinions, and actions are your own and do not represent the views of Billion.

5. No Investment Advice You must not:

• Provide investment, financial, or trading advice;

• Represent yourself as an investment adviser, broker, or fiduciary;

• Guarantee profits, returns, or outcomes;

• Solicit users to buy or sell any asset.

All trading-related content must be clearly presented as personal opinion or educational commentary only.

6. Copy Trading Disclaimer

You acknowledge and agree that:

• Users who follow or copy your trades do so entirely at their own discretion;

• You do not manage, control, or execute trades on behalf of any user;

• You do not provide managed accounts or advisory services.

Billion bears no responsibility for any trading outcomes resulting from users copying or following your activity.

7. Disclosure of Incentives

You acknowledge that you may receive fees, revenue sharing, tipping, or other incentives based on user activity.

Such incentives may create conflicts of interest, and you are solely responsible for making any disclosures required by law or platform rules.

8. Content Standards & Prohibited Conduct

You agree not to publish or engage in content or conduct that is:

• Unlawful, fraudulent, misleading, or deceptive;

• Market manipulation, insider trading, or false performance claims;

• Infringing on intellectual property or privacy rights;

• Abusive, hateful, pornographic, or otherwise inappropriate;

• Designed to circumvent legal, geographic, or platform restrictions.

9. Platform Rights & Content Moderation

Billion reserves the right, at its sole discretion, to:

• Remove, restrict, or limit distribution of any content;

• Suspend or disable monetization features;

• Suspend or terminate streamer access;

With or without notice, and without obligation to provide explanation.

10. Revenue Controls

Billion may withhold, delay, adjust, or reverse payments related to suspected violations, fraud, abuse, or compliance reviews.

Billion does not guarantee any level of income or earnings.

11. Brand & Reputation Protection

Streamer conduct that harms, undermines, or negatively impacts the reputation, integrity, or brand of Billion ―whether on or off the platform―may result in penalties, suspension, or termination.

12. No Visibility or Promotion Guarantee

Billion does not guarantee:

• Content visibility; • Algorithmic promotion; • Audience size or traffic; • Recommendation or featured placement.

13. Cross-Platform Disclaimer

Billion is not responsible for:

• Your conduct on other platforms; • Actions taken against you by third-party platforms; • Account suspensions, bans, or disputes outside Billion.

14. Violations & Enforcement

Violations of these Streamer Terms may result in:

• Warnings; • Content removal; • Demonetization; • Temporary suspension; • Permanent removal from the platform.

Enforcement decisions are made at Billion’s discretion.

15. Streamer Responsibility & Third-Party Claims

You acknowledge that you are solely responsible for all content, statements, representations, and conduct, whether on-platform or off-platform.

You are solely responsible for any claims, disputes, liabilities, or proceedings arising from:

• Intellectual property infringement;

• Defamation or false statements;

• Privacy or data protection violations;

• Regulatory, civil, or criminal investigations.

You agree to indemnify and hold harmless Billion and its affiliates from any losses, damages, costs, or expenses arising from such claims.

16. Intellectual Property

You retain ownership of your original content.

By using the platform, you grant Billion a non-exclusive, worldwide, royalty-free license to host, display, distribute, and promote your content in connection with the Services.

17. Taxes

You are solely responsible for determining, reporting, and paying any taxes arising from your earnings on the platform.

Billion does not provide tax advice.

18. No Warranties

Streamer features are provided on an “AS IS” and “AS AVAILABLE” basis. Billion makes no warranties regarding earnings, exposure, platform availability, or performance.

19. Limitation of Liability

To the maximum extent permitted by law, Billion shall not be liable for:

• Loss of income or opportunities;

• Trading outcomes or user behavior;

• Content moderation decisions;

• Technical failures or service interruptions.

20. Termination

Either party may terminate this agreement at any time.

Upon termination, Billion may remove or disable streamer access and content.

21. Governing Law & Arbitration

These Streamer Terms are governed by the laws of Hong Kong, without regard to conflict-of-law principles.

Any dispute, controversy, difference or claim arising out of or relating to this contract, including the existence, validity, interpretation, performance, breach or termination thereof or any dispute regarding non- contractual obligations arising out of or relating to it shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted, conducted in English.

You waive any right to participate in class or representative actions.
